Yuri Tamaki Commercial Use License Agreement

This Agreement establishes the terms between the seller (lunari162) and the buyer (hereby referred to as "Licensee").
The Licensee is granted a non-exclusive, non-transferable, and worldwide license to use the Yuri Tamaki voicebanks and character for permitted commercial projects. This license does not apply to Lipsync models, MikuMikuDance models, or any other downloadable content distributed on the official Yuri Tamaki website. This license does not apply to any downloadable content distributed elsewhere (i.e. unofficial or unendorsed content).
The Licensee agrees to pay a one-time license fee. The fee is pay-what-you-want with a minimum price of $5.00 USD. The license fee cannot be refunded. Paying more than the minimum does not grant the Licensee more permissions, nor does it grant more leniency.
The Licensee agrees that, in the case of non-permitted usage or abuse of these outlined terms, their License may be terminated by lunari162. Upon termination, the Licensee must cease all use of the Yuri Tamaki voicebanks and character in commercial projects, and existing works with Yuri Tamaki must be removed from all media and distribution channels.
Any changes to relevant Licensee information (pen name change, username change, business name change, etc.) must be communicated to lunari162.
In addition to this Agreement, the Licensee agrees to follow the Terms of Use (TOU) for the Yuri Tamaki voicebanks and character as outlined by lunari162. The most recent TOU is available on the official Yuri Tamaki website or as communicated by lunari162.

Voicebanks
The Licensee is hereby granted permission to use Yuri Tamaki voicebanks in small-scale commercialized music production (digital download albums, printed CDs, streaming services, YouTube monetization, etc.).
This license covers all past, present and future versions of Yuri Tamaki UTAU voicebanks EXCEPT for Act1. It does NOT cover any voicebanks made for, or used on, software other than UTAU.
Credit/attribution of the Yuri Tamaki voicebank on commercial works is necessary and must include at least one of the following three names:

Non-commercial redistribution of these files is FORBIDDEN UNLESS the voicebank download link is no longer active. The voicebank must be redistributed in its entirety. Redistribution of only the .wav files is considered a violation of the TOU.
Modification and non-commercial redistribution of frequency map files (.frq, .frt, .pmk, etc.) are ALLOWED. Commercial redistribution of these files, modified or otherwise, is FORBIDDEN.
Modification and non-commercial redistribution of the oto.ini file are ALLOWED. Commercial redistribution of this file, modified or otherwise, is FORBIDDEN.

Character and Images
The Licensee is NOT allowed to use Yuri Tamaki character images created by lunari162 or by other persons without prior permission.
Art created and used for the purpose of promoting or selling music (videos, album covers, thumbnails, etc.) is allowed as long as it is either created by the Licensee or given to the Licensee with permission of the original artist.

Limitations
Mass production using the Yuri Tamaki voicebanks or character on any physical or digital product except for original music is FORBIDDEN. Production intended to be continually sold in physical or online stores except for original music is FORBIDDEN.
Small-scale, self-produced products (prints, keychains, stickers, fanzines, etc.) that are not intended to create profit are ALLOWED.
Charitable causes do not require a commercial license as long as the cause is clearly documented. If lunari162 determines that there are reasonable grounds to assume misappropriation of charity money using Yuri Tamaki, then lunari162 reserves the right to rescind this offer.
Commercial distribution of boxed editions of Yuri Tamaki voicebanks is FORBIDDEN.
Use of the Yuri Tamaki voicebanks or character in works that promote political agendas, hostility towards individuals or groups, NFT or blockchain content, or activities that could harm the reputation of Yuri Tamaki or lunari162 is FORBIDDEN.
Use of the Yuri Tamaki voicebanks or character for AI training is FORBIDDEN.
Use of the Yuri Tamaki voicebanks or character in sexually explicit commercial content is FORBIDDEN.
Commercial use of derivative voicebanks or characters (e.g. pitchloids) is FORBIDDEN.
Mass production using the Yuri Tamaki voicebanks or character on any physical or digital product except for original music is FORBIDDEN. Production intended to be continually sold in physical or online stores except for original music is FORBIDDEN.

By paying the license fee, the Licensee agrees to the terms and conditions outlined in this Agreement. lunari162 holds no responsibility for incidents, damage, or loss to the Licensee from downloading or using the Yuri Tamaki voicebanks or character. lunari162 also holds no responsibility for incidents, damage, or loss to any third party as a result of the Licensee’s usage of the Yuri Tamaki voicebanks or character.
